Terms and Conditions

If you choose to engage with our services, it is understood that you accept and agree to abide by our terms and conditions.

Scope of Services: Ample Media Agency (“the Company”) provides digital marketing, website development, and related services as outlined in the agreed-upon project scope.

Payment: Clients agree to adhere to the payment terms specified in the project proposal or agreement. Failure to make timely payments may result in the suspension of services until payment is received.

Ownership and Usage Rights: The Company retains ownership of all intellectual property created during the provision of services. Clients are granted a non-exclusive, non-transferable license to use the deliverables solely for their intended purpose. Any unauthorized use or distribution of materials is strictly prohibited.

Client Responsibilities: Clients are responsible for providing accurate and timely information required for the execution of services. They also agree to cooperate with the Company in a timely manner throughout the project duration.

Legal Compliance: The Company will adhere to all applicable laws and regulations governing the provision of services. Clients agree to comply with all legal requirements related to their business activities, including but not limited to data protection, advertising standards, and copyright laws.

Limitation of Liability: The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the provision of services or the use of deliverables. Clients agree to indemnify and hold the Company harmless against any claims, losses, or liabilities resulting from their use of the services.

Confidentiality: Both parties agree to maintain the confidentiality of proprietary information shared during the course of the project. Confidential information shall not be disclosed to third parties without the express consent of the disclosing party.

Termination: Either party may terminate the agreement in writing with prior notice. Upon termination, clients shall pay for all services rendered up to the termination date.

Dispute Resolution: Any disputes arising under this agreement shall be resolved through negotiation and mediation in good faith. If mediation fails, the parties agree to pursue resolution through arbitration in accordance with the laws of Lucknow only.

Amendments: These terms and conditions may be amended or modified only in writing and signed by both parties.

Client Communication: Clients agree to designate a primary point of contact for all project-related communication. Timely responses to inquiries and feedback are essential for the smooth execution of services.

Project Timeline: The Company will endeavor to complete services within the agreed-upon timeline. Delays caused by factors beyond the Company’s control may necessitate adjustments to the project schedule.

Feedback and Revisions: Clients are entitled to provide feedback and request revisions to deliverables within the scope of the project. The Company will make reasonable efforts to accommodate client preferences while adhering to project deadlines.

Accessibility of Data: Clients are responsible for maintaining backups of their data and content. The Company shall not be liable for any loss or corruption of client data.

Confidentiality of Credentials: Clients agree to safeguard login credentials provided to the Company for accessing their digital assets. The Company will treat all login information with the utmost confidentiality and will not disclose it to unauthorized parties.

Non-Disclosure Agreement: The parties may enter into a separate non-disclosure agreement (NDA) to further protect confidential information exchanged during the course of the project.

Payment Default: In the event of payment default by the client, the Company reserves the right to suspend services and withhold access to project deliverables until outstanding payments are settled.

Late Payment Charges: Clients may be subject to late payment charges or interest on overdue invoices as specified in the project agreement.

Data Security: The Company will implement appropriate measures to secure client data and protect it from unauthorized access, disclosure, or alteration.

Termination Due to Non-Payment: Failure to make payment within the specified timeframe may result in the termination of the agreement, and the Company may pursue legal remedies to recover outstanding debts.

Duration: All services outlined in the proposal must be finalized and rendered within the project duration specified. No additional services, including but not limited to designing, development, and photography, will be provided after the project duration.

Any changes or modifications to the agreed-upon services must be communicated and agreed upon by both parties in writing before implementation.
